Job Overview:
A prominent law firm based in Orlando, FL, is seeking a skilled and experienced attorney with a strong foundation in capital markets and securities regulation. The ideal candidate will bring 3-5 years of transactional experience, supporting both public and private offerings, and advising on securities compliance, governance, and disclosure obligations. Duties:
Draft and review public offering documents, including Forms S-1, S-3, and S-4
Support private placement transactions and related documentation
Prepare SEC filings such as Forms 8-K, 10-Q, 10-K, Section 16 reports, and proxy statements
Assist with registration statements, insider trading plans (10b5-1), and corporate governance documents
Advise on annual meeting logistics, shareholder communications, and procedural compliance
Maintain and update governance frameworks, including board committee charters and compliance manuals
Provide securities law guidance in connection with M&A, strategic investments, and corporate restructuring
Collaborate across practice groups and offices to meet client expectations and regulatory obligations
Ensure timely execution of deliverables while managing multiple concurrent matters
Requirements:
3-5 years of relevant legal experience with a focus on securities regulation and corporate transactions
Demonstrated understanding of federal securities laws and national stock exchange standards
Strong analytical, organizational, and communication skills
Ability to handle complex regulatory documentation with precision and timeliness
Admission to practice law in the State of Florida
Education:
Juris Doctor (J.D.) from an accredited law school
Certifications:
Active Bar membership in Florida (required)
Skills:
Proficient in corporate and securities filings
Familiarity with board governance practices and shareholder engagement
High attention to detail and strong written communication
Comfortable working across jurisdictions and practice groups
