Job Overview

A law firm seeks a Tax Attorney specializing in nonprofit and tax-exempt organizations in Denver, CO. The ideal candidate will have extensive experience advising on tax compliance and governance for Section 501(c) organizations. This role offers the opportunity to work with mission-focused clients and requires a strong background in nonprofit governance and tax matters.

Duties

• Advise clients on Section 501(c) status and compliance.
• Provide guidance on IRS filings, including Form 1023 and Form 990.
• Counsel on UBTI, private foundation rules, and intermediate sanctions.
• Support mergers, acquisitions, restructurings, and joint ventures.
• Assist clients in IRS audits and disputes.
• Advise boards on governance and fiduciary duties.
• Draft and review policies and agreements.

Requirements

• Minimum of five years of experience with tax-exempt organizations.
• Experience in nonprofit governance and tax compliance.
• Ability to work under pressure and meet deadlines.
• Strong written and verbal communication skills.
• Valid authorization to work in the U.S.

Education

• J.D. from an ABA-accredited law school.
