A law firm seeks a Corporate Counsel in Sacramento, CA, with consideration for remote locations across the United States. The role involves collaborating with the Office of the General Counsel to manage the firm's corporate legal affairs, including drafting and reviewing corporate documents, advising on AI-related issues, and assisting with global compliance and risk management.

Duties

  • Assist in managing global legal affairs and strategic risk management planning.
  • Draft and review corporate documents for US and international offices.
  • Support risk management policy administration and training material development.
  • Stay updated on professional conduct rules and AI developments in legal services.
  • Develop and implement AI strategies for the Legal Department.
  • Maintain checklists for significant firm transactions.
  • Create and coordinate contract templates and playbooks.
  • Review client engagement and outside counsel agreements.
  • Assist with compliance and regulatory matters for global offices.
  • Handle corporate secretarial matters and governance documentation.
  • Respond to auditor, insurance, and client information requests.
  • Manage client relationships, conflicts of interest, and intake processes.

Requirements

  • Juris Doctorate and current admission to a U.S. bar in good standing.
  • Minimum two years of legal experience, preferably in M&A or corporate practice.
  • Experience with professional responsibility rules and codes.
  • Interest in AI tools for law firm use is preferred.
  • Effective communication and collaboration skills.
  • Creative problem-solving approach aligned with firm needs.
  • Strong organizational and analytical skills with attention to detail.
  • Commitment to confidentiality, integrity, and ethics.
  • Flexibility to handle multiple responsibilities and changing priorities.
  • Willingness to work varied hours and travel as needed.

Salaries are in line with other top Bay Area firms, and the firm provides a $10,000 bonus for all lawyers who bill at least 1,950 hours, with additional money based on three separate billable hour levels above 1,950.
