Job Overview

A law firm seeks an experienced attorney to join its private equity real estate and banking transactions practice in St. Petersburg, Florida. The ideal candidate will have over five years of experience in real estate and corporate matters, with expertise in joint venture structures and operating agreements. This role involves managing deal execution, leading negotiations, and serving as a primary client contact.

Duties

  • Manage the full life cycle of private equity real estate and finance transactions.
  • Structure and document joint ventures, acquisitions, dispositions, and financings.
  • Draft, review, and negotiate core transaction documents.
  • Oversee legal due diligence and synthesize findings into risk assessments.
  • Manage closings, maintain checklists, and ensure accurate delivery of deliverables.
  • Lead deal calls and facilitate negotiations with counterparties.

Requirements

  • J.D. from an accredited law school and good standing with a U.S. state bar.
  • Minimum of five years of experience in private equity real estate or related fields.
  • Mastery of real estate and corporate documentation.
  • Proven ability to manage transactions independently and meet tight deadlines.
  • Strong negotiation, drafting, and communication skills.

Education

  • J.D. from an accredited law school.

Certifications

  • Admission to a U.S. state bar, eligible for Florida admission.

Skills

  • Familiarity with fund structures and complex financing arrangements.
  • Experience with large-scale transactions and cross-border structures preferred.
  • Proficiency with project management tools and real estate diligence reports.
