Corporate Associate - Securities/Capital Markets

Job Overview

A law firm seeks a Corporate Associate to join the Capital Markets practice group in Los Angeles, CA. The successful candidate will work with issuers, investment banks, and other market participants in various transactions, including debt, equity, and structured deals. Remote work options may be available for exceptional candidates in other markets.

Duties

• Advise on securities law and capital markets transactions.
• Draft registration statements and offering documents.
• Manage transactions and lead due diligence teams.
• Assist with public company reporting and corporate governance.

Requirements

• Three to five years of experience in securities law and capital markets.
• Experience with public securities offerings and structured deals.
• Familiarity with IPOs, registered direct offerings, and PIPEs.
• Excellent writing skills and superior academic credentials.
• Ability to manage multiple assignments independently.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Admission to the bar in the relevant jurisdiction.
