Job Overview

A law firm seeks a mid-level Corporate M&A Associate for its West Palm Beach office. This full-time position offers the chance to work on sophisticated transactions for high-profile clients across various industries, both domestically and internationally, while enjoying the unique quality of life in South Florida.

Duties

  • Draft, review, and negotiate key transaction documents, including letters of intent and purchase agreements.
  • Manage due diligence processes, reviewing contracts and corporate records.
  • Coordinate with tax, regulatory, finance, and litigation colleagues on transaction-related issues.
  • Draft private placement memorandum and subscription packages.
  • Participate in client meetings and conference calls, providing strategic input and updates.
  • Assist with closing preparations and ensure post-closing obligations are met.

Requirements

  • 4-6 years of substantive M&A and general corporate experience at a national or regional law firm.
  • Strong drafting, negotiation, and project management skills.
  • Ability to work independently and as part of a team in a high-volume practice.
  • Demonstrated ability to thrive in a fast-paced, team-oriented environment.

Education

  • J.D. from an accredited law school.

Certifications

  • Admission to the Florida Bar or willingness to become admitted promptly.

Skills

  • Experience with cross-border transactions preferred.
  • Familiarity with private equity transactions preferred.
  • Comfort working directly with clients and managing multiple deals simultaneously.
