Job Overview

A prominent national law firm is seeking a Corporate Associate with 4–6 years of experience advising public companies and handling capital markets transactions. The ideal candidate will bring a strong background in securities compliance, governance, and capital markets offerings. This position offers the opportunity to work with a broad range of high-growth companies, including those in the technology and life sciences sectors, and play a critical role in advising on regulatory and transactional matters.

Location

  • Los Angeles, CA

Duties

  • Advise public companies on day-to-day legal issues, including SEC reporting, governance, and Nasdaq/NYSE compliance

  • Handle capital markets transactions including:

    • Initial Public Offerings (IPOs)

    • Follow-on equity and debt offerings

    • PIPEs (Private Investment in Public Equity)

    • At-the-market (ATM) offerings

  • Work with issuers and investment banks on securities offerings

  • Provide strategic guidance on disclosure, regulatory filings, and shareholder communications

  • Assist clients in the technology and life sciences industries with capital raising and compliance

  • Collaborate with firm colleagues across corporate, regulatory, and litigation teams

Requirements

  • 4–6 years of experience in public company and capital markets practice

  • Experience with SEC and stock exchange reporting and compliance

  • Prior work with IPOs, registered offerings, and private placements

  • Background in advising technology and/or life sciences companies is preferred

  • Ability to manage complex transactions and interact directly with clients

Education

  • Juris Doctor (JD) from an accredited law school

Certifications

  • Licensed to practice law in the jurisdiction of the chosen office or eligible for admission

Skills

  • Strong understanding of securities laws, including the Securities Act and Exchange Act

  • Excellent written and oral communication skills

  • Strong attention to detail and legal judgment

  • Effective project and time management

  • Ability to work independently and within a team-based environment

  • High level of client service and responsiveness
