A law firm seeks a Corporate Associate Attorney to support its Boston, MA, office. The successful candidate will help lead transactional matters, manage client relationships, and contribute to the growth of a dynamic practice, leveraging strong organizational and analytical abilities.

Duties

  • Review, draft, and negotiate commercial contracts, including purchase agreements, operating agreements, licensing documents, and non-disclosure agreements.

  • Conduct legal research on business transactions and deliver practical analysis within budget and time constraints.

  • Assist with due diligence for mergers, acquisitions, and dispositions.

  • Advise clients on contractual terms, risk management strategies, and regulatory compliance.

  • Manage a high-volume transactional workload while maintaining meticulous file organization.

Requirements

  • 3–8 years of focused corporate transactional experience.

  • Demonstrated ability to lead contract negotiations and collaborate with cross-functional teams.

  • Proven research and writing skills, with attention to detail and sound judgment.

  • Capacity to handle confidential matters with discretion and professionalism.

  • Initiative, mature judgment, and the ability to balance multiple priorities effectively.

Education

  • Juris Doctor from an accredited law school.

Certifications

  • Active membership in the Massachusetts Bar, in good standing.

Skills

  • Excellent oral and written communication skills.

  • Strong organizational and time-management capabilities.

  • Ability to synthesize factual and legal data into clear, logical arguments.

  • Proficiency with transactional documentation and legal research tools.
