Job Overview

A law firm seeks an experienced Corporate Attorney to join its Business Practice Group in Grand Rapids, MI. This role involves corporate counseling, commercial transactions, and governance matters. The ideal candidate will have substantial experience advising clients on business matters, drafting and negotiating complex agreements, and a strong understanding of corporate governance practices.

Duties

• Advise clients on general corporate matters, including entity formation and governance.
• Draft, review, and negotiate commercial agreements such as vendor and confidentiality agreements.
• Provide legal advice to business and in-house legal teams on operational and contractual matters.
• Support financing and internal restructuring transactions.
• Maintain corporate records and assist with corporate compliance.
• Partner with clients as a trusted advisor on legal needs.
• Collaborate with attorneys across practice groups, including tax and real estate.

Requirements

• At least four years of corporate or business law experience.
• Significant experience in commercial contract drafting and negotiation.
• Strong exposure to corporate counseling and governance.
• Experience managing multiple matters independently.
• Excellent drafting, negotiation, and analytical skills.
• Ability to translate complex legal concepts into practical advice.
• Exceptional organizational skills and responsiveness.
• Collaborative mindset and team-oriented work style.

Education

• J.D. from an accredited law school.

Certifications

• Admission in good standing in at least one U.S. jurisdiction.
• Admission to the Michigan Bar, or ability to become licensed in Michigan.
