Job Overview

A law firm seeks a highly qualified and motivated mid-level associate to join its Venture Capital and Emerging Growth Companies group in Dallas. The ideal candidate will have a strong background in corporate and transactional matters, with a focus on venture and growth financings, corporate governance, and mergers and acquisitions.

Duties

• Advise on venture and growth equity transactions.
• Draft and negotiate NVCA-based and bespoke financing documents.
• Provide guidance on governance and capitalization matters.
• Collaborate with M&A, IP, tax, and regulatory teams.
• Represent companies and investors in complex transactions.

Requirements

• 3+ years of experience in corporate and transactional law.
• Experience with emerging growth companies and venture capital.
• Strong drafting skills and business judgment.
• Ability to manage multiple matters in a fast-paced environment.

Education

• Juris Doctor (JD) degree.

Certifications

• Active bar admission in the jurisdiction of practice.
