Fund Formation Associate (Junior)

Job Overview

A law firm seeks a junior associate to join its Fund Formation group in Boston, Massachusetts. The ideal candidate will focus on growth equity and venture capital fund formation and operations, with relevant experience in private investment funds or a similar group at a top-tier law firm.

Duties

• Advise funds in all stages of operations, including preparing offering materials.
• Draft partnership, limited liability company, and other governing agreements.
• Process investor subscription documents and negotiate with investors.
• Draft side letters and counsel fund managers on securities laws and fund structures.
• Advise on general fund operations, including compliance and regulatory matters.

Requirements

• JD from 2023 - 2024.
• Previous large law firm experience required.
• High level of academic achievement from a nationally recognized law school.
• Strong preference for candidates licensed to practice law in Massachusetts.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in Massachusetts preferred.

Skills

• Experience with private investment funds, venture capital, and private equity.
• Regulatory experience with the Investment Company Act of 1940, the Investment Advisers Act of 1940, and the Securities Act of 1933 is a plus.
