Job Overview

A law firm seeks a talented mid-level associate to join its Corporate Governance and Special Committee practice in San Francisco. This role offers the opportunity to work on sophisticated, board-level matters involving fiduciary duties, special committees, activism defense, mergers and acquisitions, governance, and Delaware Court of Chancery litigation.

Duties

  • Advise boards of directors, special committees, and management on corporate law issues.
  • Support special committee representations in conflict transactions.
  • Assist clients with activism preparedness and governance audits.
  • Advise on mergers and acquisitions transactions and litigation risk management.
  • Research and advise on corporate law developments and implications.
  • Draft board materials, legal opinions, and client memoranda.
  • Support Delaware Court of Chancery litigation matters.
  • Collaborate with partners across various practice groups for strategic advice.

Requirements

  • 3-6 years of experience at a major law firm with Delaware corporate law exposure.
  • Strong understanding of Delaware General Corporation Law and fiduciary duties.
  • Experience with Nevada corporate law is a plus.
  • Experience with special committees, conflict transactions, or M&A matters preferred.
  • Exceptional legal research, writing, and analytical skills.
  • Ability to work independently and manage multiple matters simultaneously.
  • Strong client service orientation and business judgment.
  • Admission to California bar; Delaware or Nevada bar admission a plus.

Education

  • J.D. from a top-tier law school with excellent academic credentials.

Certifications

  • Admission to California bar; Delaware or Nevada bar admission a plus.

Skills

  • Exceptional legal research, writing, and analytical skills.
