Job Overview

A law firm seeks a midlevel associate to join its Corporate practice in San Francisco, CA, focusing on mid-market mergers and acquisitions. This role involves working closely with partners to support strategic buyers, sellers, private companies, and investors in various transactional matters, offering the opportunity to engage in sophisticated transactions across diverse industries.

Duties

  • Support middle-market mergers and acquisitions, including buy-side and sell-side transactions.
  • Assist with transaction structuring, due diligence, negotiation, and closing processes.
  • Draft and negotiate transaction documents, including purchase agreements and disclosure schedules.
  • Coordinate and manage due diligence review and workstreams across deal teams.
  • Advise clients on corporate governance and transactional matters related to M&A.
  • Work closely with partners, senior associates, and clients to manage deal timelines.
  • Collaborate with attorneys in related practice areas, such as tax and real estate.

Requirements

  • 3-5 years of experience in M&A work at a law firm.
  • Experience supporting private company mergers and acquisitions preferred.
  • Strong drafting, negotiation, analytical, and organizational skills.
  • Ability to manage multiple workstreams in a fast-paced environment.
  • Demonstrated interest in transactional practice and complex corporate matters.

Education

  • J.D. from an accredited law school.

Certifications

  • Admission (or eligibility for admission) in the state where the position is based.

Skills

  • Strong drafting and negotiation skills.
  • Excellent analytical and organizational abilities.
  • Ability to work collaboratively in a team-oriented environment.
