Job Overview

A law firm seeks a highly skilled Private Equity Associate to join its team in San Francisco. The role involves providing legal counsel and support to clients engaged in private equity transactions. Duties

  • Draft, review, and negotiate transactional documents, including purchase and shareholder agreements.
  • Conduct due diligence and research on potential investment opportunities.
  • Advise clients on regulatory compliance issues related to private equity transactions.
  • Assist in structuring and forming private equity funds.
  • Provide guidance on corporate transactions, governance matters, and securities regulations.
  • Collaborate with cross-functional teams for seamless transaction execution.
  • Lead parts of transactions independently and manage deal processes.
  • Supervise and support the development of junior colleagues.
  • Monitor industry trends and legal developments in private equity law.

Requirements

  • Juris Doctor degree from an accredited law school.
  • Admission in good standing to practice law in California.
  • Three to five years of experience in private equity transactions, preferably at a large law firm.
  • Experience representing private equity and strategic investors.
  • Understanding of corporate governance and securities compliance in private equity deals.
  • Familiarity with legal AI tools and platforms for handling corporate transactions.
  • Proficient in legal writing, negotiating terms, and performing detailed analyses.
  • Able to self-manage priorities in a fast-paced, deadline-driven environment.

Education

  • Juris Doctor degree from an accredited law school.
