Job Overview
A law firm is seeking a General Corporate Associate with 3-6 years of transactional experience to support its corporate practice focused on cryptocurrency and blockchain companies. This role involves advising emerging and established technology companies on digital asset transactions, venture capital financings, and corporate matters related to blockchain-based businesses. The position offers the opportunity to work with clients ranging from early-stage startups to publicly traded companies in sectors such as fintech, artificial intelligence, and digital media.

Duties

  • Advise cryptocurrency and Web3 companies on venture capital financings involving token rights or token warrants
  • Assist with crypto token, digital asset, and NFT issuances
  • Support primary and secondary sales of digital assets and cryptocurrency tokens
  • Help structure offshore entities related to digital asset and token offerings
  • Guide on general corporate matters, including governance, compensation, and employment-related issues
  • Collaborate with clients and internal teams on transactional planning and execution
  • Work with technology and growth companies at various stages of development, from startup formation to public company operations

Requirements

  • 3-6 years of transactional legal experience, preferably advising technology or crypto-focused companies
  • Experience handling venture capital financings and corporate transactions
  • Understanding of blockchain technology and digital asset markets
  • Ability to manage multiple transactional matters and work collaboratively within a corporate practice group
  • Familiarity with securities law considerations related to digital assets is beneficial

Education and Certifications

  • Juris Doctor (JD) from an accredited law school
  • Admission to practice law in the relevant jurisdiction

Skills

  • Strong transactional drafting and negotiation skills
  • Knowledge of cryptocurrency, blockchain technology, and Web3 ecosystems
  • Legal analysis related to venture capital and corporate finance transactions
  • Strong communication and client advisory skills
