Job Overview

A law firm seeks a Corporate Associate for its Minneapolis, MN office. The successful candidate will join the Corporate and M&A group, managing a variety of corporate transactions, including mergers and acquisitions, corporate restructuring, and succession planning. This role requires extensive experience in corporate transactions and the ability to lead projects and negotiate deal terms.

Duties

• Manage corporate transactions, including mergers and acquisitions.
• Provide general corporate advice and counsel.
• Lead and manage projects, negotiating deal terms.
• Draft and review corporate agreements and resolutions.
• Advise on equity incentive plans and securities law compliance.

Requirements

• Five plus years of transactional experience in mergers and acquisitions.
• Ability to handle a high volume of transactions and collaborate within a team.
• Strong legal writing, analytical skills, and relationship-building abilities.
• Experience with corporate structuring and entity formation.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed attorney in good standing.

Skills

• Proficiency in drafting NDAs, MSAs, and other corporate agreements.
• Familiarity with tax, employment, and intellectual property issues.
