Job Overview

A law firm seeks a Senior Attorney to join its Litigation group, Business and Commercial subgroup, in locations including New York, NY; Atlanta, GA; Raleigh, NC; Baltimore, MD; Short Hills, NJ; Washington, DC; Wilmington, DE; Philadelphia, PA; Miami, FL; and Boston, MA.

Duties

  • Negotiate and draft property management and development agreements.
  • Negotiate complex LLC operating agreements or limited partnership agreements.
  • Conduct due diligence activities, including title and survey reviews.
  • Review entity documents for authority matters.
  • Lead multi-property due diligence efforts.
  • Draft and negotiate confidentiality/access agreements and brokerage agreements.
  • Prepare and negotiate closing documents such as escrow letters and deeds.
  • Negotiate senior secured loan documents and construction loan documents.
  • Draft zoning opinions for proposed developments.
  • Perform regulatory analysis for existing developments.
  • Provide leadership and manage a team of business professionals.

Requirements

  • Minimum of 6 years' experience in M&A post-closing indemnity disputes and/or representations and warranty insurance disputes.
  • Experience with M&A transaction documentation and damages calculations.

Education

  • Juris Doctor (JD) degree required.

Certifications

  • Admitted to practice in the jurisdiction of application.

Skills

  • Strong negotiation and drafting skills.
  • Excellent communication abilities, both verbal and written.
  • Ability to manage competing demands in a fast-paced environment.
  • Proficiency in conducting due diligence and regulatory analysis.
