A law firm is seeking a highly skilled and motivated Mid-Senior level Finance Associate Attorney to join their team in Chicago. The successful candidate will have substantial experience representing lenders and/or borrowers in sophisticated financings for acquisitions, buyouts, restructurings, special situations, and other corporate finance transactions. This position offers an opportunity to work with leading financial institutions and private equity sponsors, providing high-quality legal services in a dynamic and collaborative environment.

 

Duties and Responsibilities:

  • Represent lenders, including investment and commercial banks, business development companies, or other providers of debt financing, in various finance transactions.
  • Represent borrowers, including private equity sponsors, in complex financial transactions.
  • Handle sophisticated financings for acquisitions, buyouts, restructurings, special situations, and other corporate finance transactions.
  • Draft, review, and negotiate a wide range of financing documents, including loan agreements, security agreements, intercreditor agreements, and other related documentation.
  • Advise clients on legal and regulatory issues related to finance transactions.
  • Conduct legal research and analysis on finance and related legal issues.
  • Collaborate with colleagues and clients to develop and implement financing strategies.
  • Maintain strong client relationships through effective communication and service.

 

Requirements:

  • 4-6 years of sponsor or lender side finance experience.
  • Experience at a peer firm representing lenders and/or borrowers in sophisticated financings.
  • Strong working knowledge of corporate finance transactions, including: Acquisitions, Buyouts, Restructurings, Special situations, Other corporate finance transactions.

 

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Excellent academic credentials.

 

Certifications:

Admission to the Illinois Bar or ability to become admitted promptly.

 

Skills:

  • Strong understanding of corporate finance transactions and related legal issues.
  • Excellent legal research and writing skills.
  • Superior negotiation and transactional skills.
  • Effective communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Strong analytical and problem-solving abilities.
  • High level of professionalism and ethical standards.
