Transactional Business Attorney

Job Overview

A law firm seeks a transactional business attorney in Colorado Springs, CO. The ideal candidate will have over two years of experience and the ability to manage their own caseload with support from the firm. Familiarity with tax law related to LLCs, S corporations, business sales, and acquisitions is advantageous.

Duties

• Form new LLCs and S corporations
• Draft complex LLC Operating Agreements and Shareholder Agreements
• Draft, review, and negotiate contracts
• Negotiate, draft, and complete due diligence for asset purchase agreements
• Conduct legal research using resources such as Lexis-Nexis
• Draft other business legal documents
• Provide legal advice and guidance to clients
• Track and enter billable time
• Handle administrative tasks related to cases

Requirements

• Juris Doctor (J.D.) degree from an accredited law school
• Admission to the Colorado bar
• Excellent attention to detail and project management skills
• Proven experience in legal drafting, negotiation, and business transactional work
• Strong research and writing skills
• Excellent communication and interpersonal skills
