Job Overview

A law firm seeks a mid-level Corporate Associate to join its Corporate Practice in Stamford, Connecticut. The ideal candidate will possess 3-6 years of experience in corporate and M&A transactions, demonstrating the ability to manage matters with increasing autonomy while collaborating with partners and clients.

Duties

  • Represent clients in corporate transactions, including mergers, acquisitions, and joint ventures.
  • Draft, review, and negotiate transactional documents such as purchase and merger agreements.
  • Conduct and manage due diligence, reviewing corporate records and preparing summaries.
  • Assist with transaction structuring, deal management, and closing logistics.
  • Advise clients on corporate matters, including entity formation and governance.
  • Coordinate with attorneys in other practice groups as needed.
  • Manage junior associates and paralegals, providing guidance and feedback.
  • Maintain direct communication with clients and build long-term relationships.

Requirements

  • JD from an ABA accredited law school.
  • 3-6 years of experience in transactional work at a law firm.
  • Strong knowledge of corporate governance and transactional processes.
  • Excellent drafting, analytical, and organizational skills.
  • Ability to manage multiple transactions in a fast-paced environment.
  • Strong attention to detail and sound business judgment.
  • Team-oriented with a proactive and solutions-driven mindset.

Education

  • JD from an ABA accredited law school.

Certifications

  • Bar admission in the relevant jurisdiction.

Skills

  • Strong drafting and negotiation skills.
  • Excellent analytical and organizational abilities.
  • Proficiency in managing multiple transactions simultaneously.
