Job Overview

A law firm seeks a Mid-Level Fund Formation Associate in Boston. The firm provides strategic market and regulatory advice to private investment funds globally, focusing on fund formation, structuring, and negotiation across private equity sectors.

Duties

  • Work on fund formation engagements for private equity and venture capital sponsors and their investors.
  • Draft and negotiate limited partnership agreements, subscription agreements, and side letter agreements.
  • Perform legal review and completion of private placement memoranda.
  • Draft general partner and management company arrangements.
  • Handle regulatory compliance matters for private equity and venture capital firms.
  • Manage all documents and processes relevant to fund formation transactions.

Requirements

  • At least three years of experience in fund formation for private equity and venture capital sponsors and their investors.
  • Knowledge of the Securities Act, the Investment Company Act, and the Investment Advisers Act.
  • Strong professional judgment and work ethic.
  • Ability to work as a self-starter with excellent client service skills.
  • Highly motivated with a desire for personal and professional growth in a collaborative environment.
  • Large firm experience strongly preferred.

Education

  • Juris Doctor (JD) degree required.

Certifications

  • Bar admission in good standing.

Skills

  • Excellent drafting and negotiation skills.
  • Strong analytical and problem-solving abilities.
  • Effective communication and interpersonal skills.

This large Boston firm has a surprisingly good government and regulatory practice, with the added bonus that their attorneys do not have to split their work with Washington DC lawyers in the same practice. This is a firm made up of well-rounded but most certainly well-pedigreed attorneys who come off unusually polished and professional. Associates here are generally quite satisfied, if not a little put off by what at times can be a bit of a competitive environment, both inside and outside the office.
