Job Overview

A law firm seeks a highly skilled and motivated Corporate Associate Attorney with 7+ years of experience to join its New Jersey office. The ideal candidate will have significant experience handling sophisticated transactional, advisory, and general corporate matters for emerging growth and established companies across a range of industries, including life sciences.

Duties

  • Represent clients in corporate and transactional matters, including mergers and acquisitions, joint ventures, and restructurings.
  • Structure, draft, and negotiate complex commercial agreements such as SaaS, licensing, and distribution agreements.
  • Counsel clients on corporate governance, shareholder arrangements, and employment agreements.
  • Assist with early-stage and venture capital financings, strategic investments, and exit transactions.
  • Collaborate with clients to provide practical, business-oriented legal solutions.

Requirements

  • 7+ years of relevant corporate transactional experience.
  • Admission to the New Jersey bar; New York bar admission is a plus.
  • Strong experience in mergers and acquisitions, corporate governance, and commercial contracts.
  • Excellent drafting, negotiation, and client counseling skills.
  • Ability to manage multiple matters independently while working collaboratively within a team.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admitted to the New Jersey bar.
