Job Overview

A law firm seeks a high-energy Corporate Associate Attorney in San Jose, California. This role offers a unique opportunity for an attorney with over four years of experience who thrives in a fast-paced, collaborative environment and is eager to take on significant responsibility.

Duties

  • Lead and support venture capital financings, including drafting NVCA-based documents, SAFEs, and convertible notes.
  • Manage buy-side and sell-side private acquisitions, including due diligence and overseeing the closing process.
  • Act as outside general counsel for startups and privately held companies, assisting with entity formation and equity compensation matters.
  • Review, draft, and negotiate commercial and technology agreements, including technology transfer and IP licensing agreements.
  • Serve as a primary point of contact for clients, delivering strategic legal advice.

Requirements

  • Juris Doctor degree from an accredited law school and active membership in the California Bar.
  • 4-5 years of dedicated corporate law experience, specifically within the ECVC and M&A sectors.
  • Strong drafting and negotiation skills for complex commercial and corporate contracts.
  • Solid foundational knowledge of securities law exemptions and Blue Sky filing requirements.
  • Familiarity with Section 1202 (QSBS) and tax optimization strategies is a plus.

Education

  • Juris Doctor degree from an accredited law school.

Certifications

  • Active membership in the California Bar.
