Job Overview

A law firm seeks a mid-level Transactional Associate Attorney in Hamilton, NJ. The candidate will handle purchase and sale transactions from inception through closing, including drafting and negotiating documents for M&A and similar transactions. They will advise clients on business structures, compliance issues, and strategic planning, conduct due diligence, and prepare legal opinions and memoranda.

Duties

  • Draft and negotiate primary and ancillary documents for M&A transactions.
  • Advise clients on business structures and compliance issues.
  • Conduct due diligence on corporate, financial, and regulatory matters.
  • Prepare legal opinions and memoranda on transactional matters.
  • Collaborate with attorneys and paralegals, and communicate with clients.

Requirements

  • 5-7 years of practice experience required.
  • Exceptional interpersonal, drafting, negotiation, and communication skills.
  • Excellent organizational skills with attention to detail and accuracy.
  • Analytical thinker with a business mindset.
  • Strong knowledge of contract law, corporate governance, and M&A transactions.
  • Ability to work as part of a team and interact directly with clients.
  • Admission in New Jersey required; admission in Pennsylvania or New York is a bonus.

Education

  • Law degree from an accredited law school.

Certifications

  • Admission to the New Jersey Bar.
