Job Overview

A law firm seeks a Corporate Counsel in San Francisco, CA, with consideration for remote locations across the U.S. The role involves collaborating with the Office of the General Counsel to manage the firm's corporate legal affairs, including drafting documents, advising on AI-related issues, and assisting with compliance and risk management.

Duties

  • Assist with global legal affairs and strategic risk management planning.
  • Draft and review corporate documents for U.S. and international offices.
  • Administer risk management policies and create training materials.
  • Stay updated on legal developments and provide education on AI use.
  • Develop and implement AI strategies for the legal department.
  • Manage significant transactions and maintain related checklists.
  • Create and coordinate contract templates and playbooks.
  • Review various client and counsel agreements.
  • Assist with compliance and corporate filings globally.
  • Handle corporate secretarial matters and governance documentation.
  • Respond to auditor, insurance, and client information requests.
  • Address client relationships, conflicts of interest, and intake.
  • Develop strategic goals and projects for risk management.

Requirements

  • Juris Doctorate and current admission to a U.S. bar in good standing.
  • Minimum two years of legal experience, preferably in M&A or corporate practice.
  • Experience with professional responsibility rules and codes.
  • Familiarity with AI tools in law firms preferred.
  • Effective communication and collaboration skills.
  • Creative problem-solving approach aligned with firm needs.
  • Team-oriented with strong interpersonal and counseling skills.
  • Excellent organizational and analytical skills with attention to detail.
  • Commitment to confidentiality, integrity, and ethics.
