Duties:

  • Manage and execute complex private equity transactions, leveraged buyouts, mergers, and acquisitions.
  • Advise clients on corporate matters, including corporate governance, compliance, and risk management.
  • Draft, review, and negotiate transactional documents, including purchase, shareholder, and merger agreements.
  • Conducted due diligence and managed the due diligence process for large transactions.
  • Provide strategic legal advice to corporate clients to support business objectives.
  • Collaborate with other attorneys and stakeholders to develop legal strategies and solutions.
  • Stay updated on relevant legal developments and industry trends to offer informed counsel.
  • Represent clients in negotiations, transactions, and other corporate matters.
  • Mentor junior associates and guide on legal issues and career development.

Requirements:

  • 5-7 years of experience in corporate law with a focus on private equity, leveraged buyouts, and mergers and acquisitions.
  • Experience in a large law firm environment.
  • Stellar academic credentials from a top-tier law school.
  • Demonstrated ability to handle complex transactions and corporate matters independently.
  • Strong understanding of corporate law, including regulatory and compliance issues.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to manage multiple projects and deadlines in a fast-paced environment.

Education:

  • J.D. from a top-tier law school.
