Job Overview

A prestigious law firm is seeking a mid-level associate to join its Corporate/M&A practice. The ideal candidate will be a proactive self-starter with excellent client management skills, superior academic credentials, and previous large law firm experience. This is an excellent opportunity to work on high-profile M&A transactions, including private and public company buy- and sell-side deals, document drafting, due diligence, and transaction management.

Location

Duties

  • Work on all aspects of M&A transactions, including private and public company buy- and sell-side deals.
  • Draft and negotiate M&A transaction documents, including purchase agreements, disclosure schedules, and related documents.
  • Manage and coordinate due diligence processes.
  • Advise clients on the structuring and execution of transactions.
  • Collaborate with senior attorneys and cross-functional teams to deliver exceptional service to clients.
  • Handle various aspects of M&A work, from initial deal structuring through closing.

Requirements

  • 2 to 6 years of experience in M&A transactions, including document drafting and due diligence.
  • Strong client management and communication skills.
  • Ability to manage multiple projects and prioritize effectively in a fast-paced environment.
  • Experience with both public and private company transactions is preferred.
  • A self-starter with excellent organizational and multitasking abilities.
  • Ability to work independently and as part of a team.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active membership in a state bar (preferably Texas).

Skills

  • Strong drafting, negotiation, and analytical skills.
  • In-depth knowledge of M&A processes, including due diligence and transaction structuring.
  • Excellent communication skills, both written and oral.
  • Strong organizational and time-management abilities.
