Job Overview
A well-established and nationally respected law firm is seeking a mid-level Corporate M&A Associate Attorney to join its Corporate/Mergers & Acquisitions Practice Group. This is an excellent opportunity for an experienced corporate attorney to handle complex and high-value transactions across a range of industries. The ideal candidate will have experience in M&A deal negotiation, entity structuring, and tax-related corporate transactions, with a desire to be part of a dynamic, client-focused team.

Location

• St. Louis, Missouri

Duties

• Draft and negotiate primary and ancillary legal documents for mergers, acquisitions, divestitures, and joint ventures

• Lead and manage legal due diligence processes for both buyers and sellers

• Advise on general corporate matters, entity formation, and business structuring

• Assist with loan transactions, recapitalizations, and other strategic transactions

• Collaborate with tax, finance, and regulatory counsel on structuring deals

• Provide guidance to clients on governance issues and transactional risks

• Participate in managing client relationships and supporting business development efforts

• Ensure compliance with applicable laws, including securities and tax regulations

Requirements

• Minimum of 3 years of experience in corporate law with an emphasis on M&A transactions

• Demonstrated experience drafting and negotiating complex transaction documents

• Ability to lead M&A due diligence and manage timelines for multiple deals

• Strong understanding of general corporate law and entity formation

• Proven ability to work in a fast-paced, high-volume environment

• Excellent communication and interpersonal skills

• High attention to detail and analytical thinking

Education

• Juris Doctor (J.D.) from an accredited U.S. law school

Certifications

• Active law license in good standing in the state of the desired office location (MO)
