Fund Formation Associate (Mid-Level)

Job Overview

A law firm seeks a mid-level Fund Formation Associate to join their team in Boston, MA. The ideal candidate will focus on growth equity and venture capital fund formation, bringing experience from a corporate, tax, or investment management group at a top-tier law firm.

Duties

• Advise funds in all stages of operations, including preparing offering materials.
• Draft partnership, limited liability company, and other governing agreements.
• Negotiate with investors and counsel fund managers on securities law and regulatory matters.
• Provide guidance on general fund operations, including investments.

Requirements

• JD from 2021-2022.
• Previous large law firm experience required.
• High level of academic achievement from a nationally recognized law school.
• Strong preference for candidates licensed to practice law in Massachusetts and in good standing.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in Massachusetts preferred.

Skills

• Experience with venture capital, private equity, or growth equity funds.
• Knowledge of the Investment Company Act, Investment Advisers Act, and Securities Act.
• Strong negotiation and drafting skills.
