Job Overview

A law firm seeks a motivated Corporate Associate specializing in Licensing to join their San Diego office. The successful candidate will collaborate with biotechnology, pharmaceutical, medical device, and software companies to draft and negotiate complex commercial agreements. This role involves supporting strategic transactions, advising on intellectual property and regulatory issues, and assisting clients in bringing innovations to market.

Duties

  • Draft, review, and negotiate a variety of commercial contracts, including research and development, clinical trial, and manufacturing agreements.
  • Advise clients on contract interpretation, risk assessment, and compliance issues.
  • Review intellectual property assets and contractual obligations in transactions.
  • Collaborate with scientists, executives, and cross-disciplinary teams to align legal and business goals.
  • Stay informed on legal trends and regulatory developments impacting life sciences and technology transactions.

Requirements

  • 3+ years of experience drafting and negotiating commercial contracts for life sciences and technology clients.
  • Knowledge of intellectual property law, including patents, trademarks, trade secrets, and copyrights.
  • Understanding of software licensing, SaaS, and technology transactions preferred.
  • Familiarity with data privacy issues in technology agreements and AI applications.
  • Experience with clients in life sciences, biotechnology, pharmaceutical, digital health, and medical device industries.

Education

  • JD or LLM from an ABA-accredited law school.

Certifications

  • Admitted or eligible for admission in California.

  • Ability to prioritize, meet deadlines, and manage competing responsibilities.
