Job Overview

A law firm seeks a Capital Markets and Securities Associate with over three years of experience to join their Capital Markets Practice Group in Dallas, TX. This position is ideal for candidates passionate about sophisticated securities and corporate transactional work, advising issuers, investment banks, and institutional investors on complex securities and corporate matters.

Duties

• Lead and execute corporate finance transactions, including public and private securities offerings.
• Advise clients on alternative paths to public markets, such as reverse mergers, de-SPACs, and direct listings.
• Guide clients through regulatory, disclosure, and compliance challenges.

Requirements

• Experience in corporate and securities law at a major law firm.
• Strong understanding of the Securities Act, Exchange Act, and relevant stock exchange rules.
• Ability to manage multiple matters simultaneously in a fast-paced environment.

Education

• JD from an accredited law school.

Certifications

• Admission to the New York State Bar.

Skills

• Strong drafting, negotiating, and communication skills.
