Job Overview:
A Los Angeles-based law firm is seeking a mid-level associate to join its sophisticated finance practice. The role centers on representing institutional investors and lending entities in complex financing arrangements, particularly those tied to private equity transactions, such as leveraged buyouts and acquisition-related funding. The ideal candidate will bring hands-on experience with structuring credit facilities, negotiating transaction documentation, and managing all stages of secured lending deals.

Duties:

  • Collaborate with private equity sponsors, direct lenders, and financial institutions on a range of financing transactions

  • Draft and negotiate loan documentation, including commitment letters, credit agreements, and security instruments

  • Conduct legal due diligence and assist with deal structuring and closings

  • Coordinate with internal teams and external parties to ensure seamless execution of transactions

  • Advise clients on legal risks, mitigation strategies, and compliance issues related to finance agreements

Requirements:

  • Relevant experience within a debt finance or private equity finance practice

  • Demonstrated experience in sponsor-backed leveraged transactions and acquisition financing

  • Proven ability to manage complex deal timelines and multiple stakeholders

  • Strong drafting, negotiation, and analytical skills

  • Member in good standing of a U.S. State Bar, with the ability to gain admission in California if not already admitted

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to a State Bar in the United States (California preferred or ability to promptly obtain admission)

Skills:

  • Exceptional verbal and written communication abilities

  • Detail-oriented with a strong commitment to delivering high-quality legal services

  • Capable of working effectively both independently and as part of a collaborative team

  • Sound judgment and the ability to prioritize competing deadlines
