Duties

• Handle a wide array of complex corporate and business transactions.
• Draft and negotiate a broad range of legal documents, including organizational and governing corporate documents such as partnership agreements, LLC operating agreements, and other foundational entity documents.
• Prepare and negotiate commercial agreements, including employment, independent contractor, services, joint venture, licensing, and IP development agreements.
• Draft and review loan documents, purchase and sale agreements, and assist with M&A due diligence.
• Engage in substantial client interaction and provide practical, strategic input on business decisions.
• Work in a fast-paced, entrepreneurial environment and contribute to process improvements and firm growth.
• Collaborate closely with team members to deliver efficient, high-value service to clients.

Requirements

• Minimum of 8 years of experience in business and corporate law.
• Demonstrated ability to efficiently draft and negotiate a wide variety of transactional documents.
• Strong legal drafting, analytical, and issue-spotting skills.
• Ability to manage multiple matters and work effectively in a dynamic, fast-moving environment.
• Organized, pragmatic, and solutions-oriented, with a high level of professional integrity.
• Experience supervising or mentoring other attorneys is a plus.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Licensed to practice law in Maryland or eligible to waive in.
