Job Title: Private Funds Associate Attorney

Job Overview:
A distinguished law firm based in Los Angeles, CA, is actively seeking a mid-level associate attorney with 3-6 years of experience in private fund formation. This opportunity is being presented by a legal recruiting agency representing a top-tier financial services legal team. The role offers the chance to work alongside renowned professionals advising a spectrum of clients, from new fund managers to global asset managers. The practice spans various asset classes and strategies, such as private equity, credit, real estate, and secondaries.

Duties:

  • Draft and negotiate comprehensive fund documentation, including:

    • Private placement memoranda

    • Fund operating agreements

    • Subscription materials

    • Investment advisory and placement agent agreements

    • Legal opinions and regulatory filings

  • Manage the full lifecycle of fundraises, from structuring to closing

  • Serve as a key contact for clients and manage project workflows

  • Lead investor negotiations, including review of side letters and oversight of the subscription process

  • Coordinate closing mechanics and documentation

  • Provide compliance guidance related to U.S. federal securities laws, including:

    • Regulation D offering exemptions

    • Investment Company Act exclusions

    • Advisers Act obligations

Requirements:

  • 3-6 years of relevant legal experience in private fund formation or closely related corporate practice

  • Demonstrated ability to independently manage fund projects and interface with clients and investors

  • Familiarity with regulatory frameworks relevant to private funds and investment advisers

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Admission to the State Bar of California or eligibility to become admitted

Skills:

  • Strong drafting, analytical, and organizational abilities

  • Effective client communication and negotiation skills

  • Ability to manage deadlines and high-volume workflows across multiple transactions

  • Prior experience with private funds is highly preferred

  • Experience in a large law firm setting is advantageous; in-house or regulatory background is a plus
