Job Overview

A law firm seeks a motivated Corporate Associate specializing in Licensing to join their practice in San Francisco, CA. The successful candidate will collaborate with biotechnology, pharmaceutical, medical device, and software companies to draft and negotiate complex commercial agreements, including licensing and collaboration agreements. They will also support strategic transactions and advise on intellectual property and regulatory issues.

Duties

  • Draft, review, and negotiate a wide range of commercial contracts.
  • Advise clients on contract interpretation, risk assessment, and compliance issues.
  • Review IP assets and contractual obligations in transactions.
  • Work with scientists, executives, and cross-disciplinary teams to align legal and business goals.
  • Stay current on legal trends and regulatory developments impacting life sciences and technology transactions.

Requirements

  • 3+ years of experience drafting and negotiating commercial contracts for life sciences and technology clients.
  • Knowledge of intellectual property law, including patents, trademarks, trade secrets, and copyrights.
  • Understanding of software licensing, SaaS, and technology transactions preferred.
  • Familiarity with data privacy issues in technology agreements and AI applications.
  • Experience working with clients in life sciences, biotechnology, pharmaceutical, digital health, and medical device industries.

Education

  • JD or LLM from an ABA-accredited law school.

Certifications

  • Admitted or eligible for admission in California or Massachusetts.

  • Ability to prioritize, meet deadlines, and balance competing responsibilities.
