Job Overview:
A well-established law firm is seeking an associate attorney with 3 to 5 years of experience to join its Investment Funds practice group in Houston. This role involves advising clients on the structuring, formation, and operation of private investment funds, including private equity funds, real estate funds, and other alternative investment vehicles. The ideal candidate will have experience in fund formation and related corporate matters, with the ability to provide counsel on fund governance, regulatory compliance, and sponsor representation.

Location:

  • Houston, TX

Duties:

  • Advise clients on the structuring and formation of private equity funds and related investment vehicles

  • Draft and negotiate fund documents, including partnership agreements, offering memoranda, and side letters

  • Support fund sponsors in the formation and management of general partner and management company entities

  • Counsel clients on regulatory compliance and investor-related matters

  • Collaborate with tax, regulatory, and corporate teams on cross-disciplinary issues

  • Provide ongoing legal support for fund operations, restructurings, and secondary transactions

Requirements:

  • 3 to 5 years of relevant experience in investment funds or corporate transactions

  • Experience advising on private fund formation and operation preferred

  • Background in general corporate law will be considered if fund-related experience is limited

  • Familiarity with Investment Advisers Act, Securities Act, and relevant regulatory frameworks is an advantage

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

  • Strong academic performance required

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction

Skills:

  • Excellent drafting, negotiation, and legal analysis skills

  • Strong understanding of private fund structures and market trends

  • Ability to manage multiple matters and meet deadlines in a fast-paced environment

  • Effective communicator with strong client service orientation

  • Collaborative mindset and ability to work across practice areas
