Job Overview

A law firm seeks a midlevel associate to join its Corporate practice in Portland, OR, focusing on mid-market mergers and acquisitions. This role involves working closely with partners to support strategic buyers, sellers, private companies, and investors in various transactional matters.

Duties

  • Support middle-market mergers and acquisitions, including buy-side and sell-side transactions.
  • Assist with transaction structuring, due diligence, negotiation, and closing processes.
  • Draft and negotiate transaction documents, including purchase agreements and ancillary agreements.
  • Coordinate and manage due diligence review and workstreams across deal teams.
  • Advise clients on corporate governance and transactional matters related to M&A transactions.
  • Collaborate with attorneys in related practice areas, including tax, real estate, and intellectual property.

Requirements

  • 3-5 years of experience in M&A work at a law firm.
  • Experience supporting private company mergers and acquisitions preferred.
  • Strong drafting, negotiation, analytical, and organizational skills.
  • Ability to manage multiple workstreams in a fast-paced, team-oriented environment.
  • Demonstrated interest in transactional practice and complex corporate matters.

Education

  • J.D. from an accredited law school.

Certifications

  • Admission (or eligibility for admission) in the state where the position is based.

Skills

  • Strong drafting and negotiation skills.
  • Excellent analytical and organizational abilities.
  • Ability to work collaboratively in a team environment.
