Job Overview

A law firm seeks an experienced Corporate Attorney to join its Business Practice Group in Muskegon, MI. This role involves corporate counseling, commercial transactions, and governance matters, requiring significant experience in advising clients and drafting complex agreements.

Duties

  • Advise clients on general corporate matters, including entity formation and governance.
  • Draft, review, and negotiate commercial agreements such as vendor and confidentiality agreements.
  • Provide legal advice to business teams on operational and contractual matters.
  • Support financing and internal restructuring transactions.
  • Maintain corporate records and assist with compliance.
  • Partner with clients as a trusted advisor on legal needs.
  • Collaborate with attorneys across various practice groups.

Requirements

  • At least four years of corporate or business law experience.
  • Experience in commercial contract drafting and negotiation.
  • Strong exposure to corporate governance and counseling.
  • Ability to manage multiple matters independently.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to translate complex legal concepts into practical advice.
  • Collaborative mindset and team-oriented work style.

Education

  • J.D. from an accredited law school.

Certifications

  • Admission in good standing in at least one U.S. jurisdiction.
  • Admission to the Michigan Bar, or ability to become licensed in Michigan.
