Job Overview

A law firm seeks a Senior Associate with 5-7 years of experience to join its Finance & Financial Services practice in Dallas. The candidate will represent financial institutions and private credit funds in complex transactions, including multi-lender facilities and structured solutions. The role involves direct client interaction and transaction management in a dynamic environment.

Duties

  • Manage sponsor-backed acquisition financings, including cross-border and multi-currency deals.
  • Handle cash-flow and asset-based lending, including senior and superpriority revolvers.
  • Oversee multi-lender facilities and intercreditor arrangements.
  • Negotiate mezzanine debt, preferred equity co-investments, and structured solutions.
  • Conduct liability management transactions, including covenant resets and amendments.
  • Lead amend-and-extend transactions, refinancings, and recapitalizations.

Requirements

  • 5-7 years' experience in leveraged finance/private credit at a national firm.
  • JD from an ABA-accredited law school.
  • Bar admission in FL, NY, MA, IL, GA, NC, TX, or eligibility to become licensed.
  • Residence in the Dallas area required at or prior to hire.
  • Familiarity with LMEs, unitranche structures, and sponsor finance terms.
  • Strong drafting skills and commercial awareness.
  • Big-law training and experience with sophisticated deals.

Education

  • JD from an ABA-accredited law school.

Certifications

  • Bar admission in one or more specified jurisdictions preferred.

Skills

  • Excellent communication and client management skills.
  • Strong judgment and ability to manage workstreams independently.
