Job Overview

A law firm seeks a Partner Private Equity - Corporate & Finance in Cleveland, OH. The ideal candidate will have a robust background in representing private equity funds, management teams, independent sponsors, investors, and portfolio companies. They will excel in advising clients on structuring, evaluating, negotiating, and completing various financial transactions and compliance matters.

Duties

  • Handle private equity services, including buyouts, capital growth, and exit transactions.
  • Assist in establishing and structuring private equity funds and drafting legal documents.
  • Represent firms in buying and selling companies and negotiating agreements.
  • Conduct due diligence on target companies to assess risks and opportunities.
  • Ensure client compliance with securities laws, tax regulations, and other legal requirements.
  • Stay current with legal trends and best practices in private equity.

Requirements

  • Juris Doctor (JD) from an accredited law school.
  • 5+ years of experience in Corporate, Finance, and/or M&A law.
  • Experience with fundless sponsors, investors, and private equity services.
  • Excellence in legal writing and analysis.
  • Substantial experience in fund formations, mergers, and regulatory compliance.
  • Ability to work independently and as part of a team.
  • Excellent communication skills and a client-focused approach.
  • Lead junior associates and contribute to team development.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Bar admission in the relevant jurisdiction.
