A law firm seeks a Corporate Counsel Attorney with over five years of experience to join its Seattle, WA office. The position involves handling general corporate and transactional matters, including M&A, financing, corporate governance, and commercial contracts. Duties

  • Lead and support M&A transactions, joint ventures, and financing matters.
  • Draft and negotiate corporate documents such as operating and purchase agreements.
  • Advise on corporate governance, entity maintenance, and compliance.
  • Handle formation and restructuring of various business entities.
  • Provide corporate counseling for companies at different growth stages.
  • Collaborate with partners and clients to deliver high-quality service.
  • Supervise and mentor junior associates and support staff.
  • Contribute to business development and client relationship building.

Requirements

  • 5+ years of corporate and transactional experience at a reputable firm.
  • Experience managing significant portions of M&A or financing matters.
  • Strong drafting, analytical, and project-management skills.
  • Ability to work independently and collaboratively.
  • Excellent communication skills for client interaction.
  • Washington State Bar admission or eligibility to waive in.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to the Washington State Bar.

Skills

  • Proficiency in managing multiple deadlines in a fast-paced environment.
  • Familiarity with real estate-related corporate transactions is advantageous.
  • Knowledge of tax-exempt organizations or nonprofit governance is a plus.
