Job Overview:
A leading national law firm is seeking an experienced Of Counsel – Corporate Aviation attorney to join its Business and Transactions practice. This position is suited for a senior-level aviation attorney with over a decade of experience managing complex aircraft transactions. The attorney will provide high-touch legal counsel to a broad range of clients, including airlines, corporate flight departments, financial institutions, leasing companies, and ultra-high-net-worth individuals. The ideal candidate will have deep knowledge of FAA regulations, tax structures, financing arrangements, and operational matters. 

Location:

  • Boulder, CO

Duties:

  • Lead and manage U.S. and international aircraft transactions, including acquisitions, sales, leasing, and financing

  • Provide legal counsel on FAA compliance, aircraft registration, ownership structuring, and operational planning

  • Advise on federal, state, and local tax implications related to aircraft ownership and use

  • Draft and negotiate transaction documents such as purchase agreements, lease contracts, and financing instruments

  • Assist with aircraft customization, completions, and maintenance contracts

  • Act as principal legal advisor on deals involving aircraft of all sizes, including general aviation and large VIP-configured commercial aircraft (e.g., Boeing 747-800, 787 VIP)

  • Represent and manage a diverse client base that includes:

    • U.S. and foreign airlines

    • Corporations and high-net-worth individuals

    • Aircraft lessors and banks

    • Manufacturers and aviation service providers

  • Handle all matters with a high degree of independence and contribute to business development

Requirements:

  • Minimum of 10 years of legal experience focused on corporate aviation transactions

  • Strong command of FAA regulations and aviation industry practices

  • Demonstrated ability to work directly with clients and manage transactions from start to finish

  • Proven experience advising on aviation-related tax structuring and regulatory compliance

  • Capability to handle complex, multi-jurisdictional transactions

  • Active law license in the jurisdiction corresponding to one of the listed office locations

  • Portable book of business is a significant plus

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

Certifications:

  • Active bar membership in good standing in applicable U.S. jurisdiction

Skills:

  • High-level contract drafting and negotiation

  • Strong interpersonal and client advisory abilities

  • FAA regulatory compliance and aviation tax structuring

  • Detail-oriented and highly organized
