Job Overview
A law firm seeks an Investment Funds Mid-Level Associate for their Chicago, IL office. The ideal candidate will have 4-6 years of experience in private equity fund formation and related matters.

Duties

  • Assist private equity fund sponsors with fund formation, including preparing and negotiating private placement memoranda and partnership agreements.
  • Review fund documentation for institutional investors and negotiate fund terms.
  • Structure and draft governing documents for fund management companies and general partners.

Requirements

  • 4-6 years of experience in private equity fund formation.
  • Experience in a large law firm or in-house setting preferred.
  • Admitted to the state bar of the office location.

Education

  • Juris Doctor (JD) degree required.

Certifications

  • State bar admission required.

Skills

  • Working knowledge of securities rules and regulations, including the Investment Advisers Act.
  • Experience with private equity secondary transactions and GP-led restructurings is beneficial.
