Job Overview

A law firm seeks a Corporate Finance Associate for its Houston, TX office. The position is full-time and ideal for a 2nd to 4th-year associate with relevant experience in corporate finance transactions.

Duties

  • Represent administrative agents, lenders, and borrowers in credit facilities and acquisition financings.
  • Negotiate and draft credit agreements, debt commitment letters, and term sheets.
  • Prepare security agreements, intercreditor agreements, and subordination agreements.
  • Manage closing deliverables, including certificates, resolutions, and legal opinions.
  • Engage in deal management and client interaction.

Requirements

  • Experience with club and broadly syndicated credit facilities.
  • Experience representing private equity sponsors and portfolio companies is beneficial.
  • Admission to one or more state bars; Texas bar admission preferred.

Education

  • Strong academic background.

Certifications

  • Admission to state bar(s).

Skills

  • Superior drafting skills.
  • Diligent, proactive, and team-oriented.
  • Willingness to take on significant responsibility.
