Job Overview

A law firm seeks a Commercial Contracts Counsel in San Francisco, CA. This role involves leading the firm's third-party contract review process, including drafting, editing, reviewing, and negotiating key contractual terms. The position serves as a liaison between various departments to facilitate vendor and service provider contract reviews.

Duties

  • Draft, review, and negotiate a variety of vendor and service provider contracts.
  • Lead and collaborate throughout the contract review process.
  • Develop and implement contracting playbooks, templates, and workflows.
  • Identify compliance vulnerabilities and develop corrective action plans.
  • Provide guidance to the Procurement team and collaborate with the General Counsel's Office.
  • Develop creative solutions for key negotiation points.
  • Support the firm's cyber-security insurance program and related initiatives.
  • Assist with governance matters and compliance issues.
  • Participate in special projects and other responsibilities as assigned.

Requirements

  • Juris Doctor (JD) degree and active bar membership in good standing.
  • Minimum of five years of experience in drafting, reviewing, and negotiating commercial contracts.
  • Expertise in software/SaaS agreements, purchase agreements, and NDAs.
  • Strong knowledge of legal concepts and industry practices.
  • Effective communication and problem-solving abilities.
  • Experience with legal ethics and privilege issues.
  • Strong organizational skills and attention to detail.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Experience with privacy and data protection laws is a plus.

Education

  • Juris Doctor (JD) degree.

Certifications

  • Active bar membership in good standing.
