Job Overview:
A distinguished law firm is seeking a Corporate Associate Attorney with 2 to 3 years of relevant experience to join its team. The ideal candidate will be involved in a wide range of corporate and commercial law matters, including mergers and acquisitions, general corporate governance, and business transactions. This opportunity is available in either the Buffalo, NY office or a Florida-based office, offering a supportive and collaborative legal environment for emerging corporate law professionals.

Location:

  • Palm Beach, Florida

Duties:

  • Support the corporate team in matters involving general corporate and commercial law

  • Draft, review, and revise various business-related documents, including:

    • Shareholder agreements

    • Operating agreements

    • Merger and acquisition documents

    • Commercial contracts

  • Advise clients on a broad spectrum of corporate legal issues

  • Conduct legal research on corporate and transactional matters

  • Evaluate the compliance of business practices and policies with regulatory and ethical standards

  • Collaborate with attorneys across practice areas to deliver integrated client solutions

Requirements:

  • 2 to 3 years of relevant legal experience in corporate law, M&A, and commercial transactions

  • Demonstrated ability to manage multiple matters efficiently and effectively

  • Strong interpersonal and client service skills

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

  • Admission to the bar and in good standing in the jurisdiction of the office location, or eligibility to waive in

Skills:

  • Proficient in drafting and negotiating corporate and commercial agreements

  • Excellent written and verbal communication abilities

  • Strong analytical and legal research skills

  • Team-oriented mindset with the ability to work collaboratively across departments

  • High level of professional integrity and attention to detail
