Job Overview:
A leading law firm is seeking an experienced associate attorney to join its Investment Funds Group, focusing on Registered Funds and Business Development Companies (BDCs). The ideal candidate will have 3 to 5 years of experience advising on a variety of retail fund structures, including traditional and alternative registered funds. This role offers exposure to high-profile fund formations, regulatory guidance, and public company reporting matters, with a strong emphasis on cross-border compliance and market-facing documentation.

Location:

  • Los Angeles, CA

Duties:

  • Advise clients on the formation and structuring of registered investment funds

  • Work on mutual funds, ETFs, closed-end funds, interval funds, tender offer funds, BDCs, REITs, and other retail fund products

  • Provide legal counsel on U.S. and global regulatory, compliance, and distribution matters

  • Draft and review offering documents, SEC filings, board materials, and shareholder communications

  • Advise on public company reporting obligations, including Form N-CSR, N-PORT, and other disclosure filings

  • Collaborate with fund sponsors, compliance teams, and investment advisers on fund governance and operational issues

Requirements:

  • 3–5 years of experience in investment funds, preferably within a top-tier funds practice

  • Demonstrated experience advising on registered fund formation and structuring

  • Knowledge of the Investment Company Act of 1940, Advisers Act, and related securities laws

  • Familiarity with BDCs, REITs, and other hybrid fund structures is strongly preferred

  • Exposure to capital markets transactions and public company disclosure requirements is a plus

Education:

  • Juris Doctor (JD) from an accredited U.S. law school

  • Strong academic performance required

Certifications:

  • Admission to the bar in at least one U.S. jurisdiction (NY, CA, D.C., or MA preferred)

  • Eligibility to obtain admission promptly in applicable jurisdiction, if not already admitted

Skills:

  • Excellent drafting, analytical, and communication skills

  • Strong understanding of registered fund regulatory frameworks

  • Ability to manage complex fund matters and regulatory compliance workflows

  • Effective collaborator across legal, compliance, and business functions

  • Organized, detail-oriented, and capable of balancing multiple priorities
