Corporate Attorney

A law firm in Grand Haven, MI, is seeking an experienced Corporate Attorney to join their team. The ideal candidate will have a strong background in business transactions, including mergers and acquisitions, private offerings, and capital restructuring. Expertise in general corporate work, contract review and drafting, and the ability to lead transactions in a first chair capacity are essential.

Duties and Responsibilities:

• Assist clients in a wide range of business transactions, such as mergers and acquisitions, private offerings, and capital restructuring.
• Provide legal counsel on general corporate matters, including contract negotiation, drafting, and review.
• Lead and manage transactional matters from inception to completion, acting in a first chair role as needed.
• Conduct due diligence investigations and prepare related reports and analyses.
• Draft and negotiate transactional documents, including purchase agreements, shareholder agreements, and corporate resolutions.
• Advise clients on corporate governance issues, compliance matters, and regulatory requirements.
• Maintain strong client relationships and deliver exceptional client service throughout engagements.
• Collaborate effectively with internal teams and external stakeholders to achieve client objectives.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Michigan State Bar (preferred) or eligibility for admission by motion.
• Minimum of 3 years of experience practicing corporate law at a law firm.
• Demonstrated ability to independently manage and lead transactions.
• Strong transactional background with specific experience in mergers and acquisitions.
• Excellent academic credentials with a proven record of high achievement.
• Exceptional project management skills with the ability to handle multiple projects and deadlines.
• Superior attention to detail and accuracy in work product.
• Outstanding interpersonal and communication skills, both written and verbal.

Preferred Certifications:

• Certification in Business Law or related field is advantageous.
