Job Overview:

Location:

Duties:

  • Provide legal counsel to nonprofit clients and related entities on a wide range of matters including formation, governance, compliance, and transactions

  • Advise on corporate structure, federal tax law, charitable trust regulations, grantmaking, and impact investments

  • Serve as outside general counsel for nonprofit clients, advising on strategic and operational matters

  • Draft and review contracts, governance documents, and regulatory filings

  • Conduct legal research and prepare memoranda on complex nonprofit compliance issues

  • Communicate directly with clients, offering clear and actionable legal advice

  • Mentor team members and collaborate across the firm on shared projects

  • Contribute to firm publications, blogs, and knowledge-sharing resources for the nonprofit sector

Requirements:

  • Minimum of 8 years of legal experience focused on nonprofit and exempt organizations law

  • Proven ability to independently manage and supervise nonprofit-related legal matters

  • Experience with transactional, compliance, and regulatory issues relevant to the nonprofit sector

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Active license to practice law in California

Skills:

  • Exceptional legal writing skills, particularly for non-lawyer audiences

  • Strong attention to detail for drafting and reviewing complex legal documents

  • High-level legal research and analytical capabilities

  • Proficiency with project management and ability to juggle multiple deadlines
