Duties:

  • Provide legal advice and counsel on private equity fund formation, including structuring and drafting fund documentation.
  • Assist with the creation and negotiation of partnership agreements, investment management agreements, and related fund operational documents.
  • Conduct legal due diligence for private equity transactions and investment opportunities.
  • Support clients in regulatory compliance matters and ensure adherence to relevant laws and regulations.
  • Manage and coordinate with clients, internal teams, and external advisors to facilitate fund formation and operational processes.
  • Stay updated on industry trends, legal developments, and regulatory changes affecting private equity funds and investment operations.
  • Prepare and review legal opinions, memoranda, and other documentation as required.
  • Represent clients in negotiations and transactions involving private equity funds.

Requirements:

  • Minimum of 3 years of experience in private equity fund formation and related fund operational matters.
  • Demonstrated experience with investment funds and corporate law.
  • Proven ability to handle complex legal transactions and provide sound legal advice.
  • Strong analytical and problem-solving skills.
  • Excellent written and verbal communication skills.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the State Bar of Texas.

Skills:

  • In-depth knowledge of private equity fund formation and operations.
  • Proficiency in drafting and negotiating fund-related agreements and documentation.
  • Strong understanding of regulatory compliance and industry standards.
  • Ability to manage multiple tasks and meet tight deadlines.
  • Excellent interpersonal skills with the ability to build and maintain professional relationships.
  • Attention to detail and a high level of accuracy in legal work.
